Software Sourcing (Licensing) Specialist
Job Description: Be an individual contributor on the software sourcing team within Global Sourcing & Procurement Services. The Software sourcing team is responsible for end to end sourcing activities related to the acquisition of software products and related services globally. Responsibilities include: Review, draft and negotiate complex agreements, including Master Software License Agreements, Master Software License and Consulting Agreements, Application Service Provider Agreements, Software as a Service Agreements and Technology Professional Services Agreements; lead contract negotiations with major vendors regarding the DIVESTITURE of divisions of Co. and modification or early termination of software license agreements; negotiate and execute modifications to transition services agreements; partner with the Legal department and other support groups to ensure completion of acceptable contracts; strengthen and expand existing client relationships; contribute to group culture built on principles of collaboration, client focus, empowerment, transparency and fact-based decision making; manage the renegotiation of agreements with major suppliers so as to improve terms and pricing and ensure global coverage.
Skills/ Experience Required: Minimum of 5 years experience negotiating agreements related to the acquisition of software products and related services. Some expertise reviewing, analyzing, drafting and negotiating contract terms (commercial and legal) related to software acquisitions, including master software license agreements, master software license and consulting agreements, application service provider agreements, software as a service agreements, technology professional services agreements, statements of work, purchase documents, non-disclosure agreements and software evaluation agreements. Significant experience participating in contract reviews, consents and related documents required for DIVESTITURES of divisions or subsidiaries of a company. Experience and expertise analyzing drafting and negotiating global agreements and various license models, including ELAS. Strong financial analysis skills with the ability analyze and explain pricing models; strong understanding of legal concepts as related to contract negotiations. Excellent relationship management skills, as well as ability to work with all levels of management.
